01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Augment LLC, a Michigan limited liability company ("we," "us," "our," or "Company"), governing your access to and use of the ReputeDesk platform and all related services (collectively, the "Service") available at reputedesk.io.

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" also refers to that entity.

02 Description of Service

ReputeDesk is a software-as-a-service (SaaS) platform that enables business owners and marketing professionals to:

• Connect and aggregate customer reviews from multiple third-party platforms (Google, Yelp, Facebook, and others) into a single unified dashboard
• Generate AI-powered response drafts to customer reviews in a customized brand voice
• Post approved responses to connected review platforms on your behalf via authorized API integrations
• Receive automated alerts and escalation notifications for reviews requiring human attention
• Access business intelligence reports, sentiment analysis, and reputation performance metrics
• Manage multiple business locations from a single account

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you. We will make reasonable efforts to notify you of material changes to core functionality.

03 Eligibility

To use ReputeDesk, you must meet all of the following requirements:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable laws in your jurisdiction
• Represent a legitimate business, organization, or professional practice
• Provide accurate, complete, and current registration information

ReputeDesk is a business-to-business service. It is not intended for personal, family, or household use. By using the Service, you represent and warrant that you meet all eligibility requirements.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion if we believe eligibility requirements are not met.

04 Accounts & Registration

Account Creation

To access the Service, you must create an account by providing a valid email address, password, and other requested information. You agree to provide accurate, current, and complete information and to update it as necessary to keep it accurate.

Account Security

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account, whether or not authorized by you
• Immediately notifying us of any unauthorized use of your account at security@reputedesk.io
• Ensuring your password is strong and not reused from other services

One Account Per User

Each account is for use by a single individual or business entity. You may not share your account credentials with others. Team access (if available in your plan) is managed through the platform's user management features, not by sharing login credentials.

Account Accuracy

You agree not to create accounts under false pretenses, impersonate another person or entity, or provide misleading information. We reserve the right to terminate accounts that we determine, in our sole discretion, contain false or misleading information.

05 Subscriptions & Billing

Subscription Plans

ReputeDesk offers the following subscription tiers:

Pricing is subject to change. We will provide at least 30 days' notice via email before any price increases take effect for existing subscribers.

Billing Cycle

Subscriptions are billed monthly in advance on the date you first subscribe ("Billing Date"). All fees are in US Dollars and are non-refundable except as expressly stated in these Terms.

Payment

By providing payment information, you authorize us (via our payment processor, Stripe) to charge your payment method on each Billing Date. You represent that you are authorized to use the payment method provided. If a payment fails, we will notify you and may suspend your account until payment is resolved.

Free Trials

We may offer free trials at our discretion. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. We will send a reminder email before your trial expires.

Refund Policy

We offer a 30-day money-back guarantee for new subscribers. If you are not satisfied with ReputeDesk within your first 30 days, contact us at hello@reputedesk.io for a full refund of your most recent payment. After 30 days, all payments are non-refundable. Refunds are not provided for partial months.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then. We do not prorate refunds for unused time after the 30-day guarantee period.

Taxes

Prices listed do not include applicable sales tax, VAT, or other taxes. You are responsible for all taxes applicable to your subscription in your jurisdiction.

06 Acceptable Use

You agree to use ReputeDesk only for lawful business purposes and in compliance with these Terms and all applicable laws and regulations. You agree not to:

Prohibited Actions

• Use the Service to post false, misleading, or fabricated reviews or responses
• Use the Service to harass, defame, threaten, or abuse reviewers or any other persons
• Attempt to manipulate review platforms in violation of their terms of service
• Use the Service to post spam, unsolicited commercial messages, or repetitive content
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Access or attempt to access other users' accounts or data
• Use automated bots, scrapers, or scripts to access the Service outside of our official API
• Circumvent, disable, or interfere with security features of the Service
• Use the Service to infringe any intellectual property rights of any third party
• Resell, sublicense, or otherwise commercialize the Service without our written permission (except as permitted under Agency plans)
• Upload or transmit malicious code, viruses, or any content designed to harm or disrupt the Service
• Use the Service in any way that could damage, disable, or impair our servers or networks

Review Platform Compliance

You are solely responsible for ensuring that your use of ReputeDesk complies with the terms of service of any third-party review platform you connect to (including Google, Yelp, and Facebook). Violations of third-party platform terms through use of ReputeDesk are your sole responsibility.

Enforcement

We reserve the right to investigate suspected violations of these Terms and to take appropriate action, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

07 Your Content & Data

Ownership

You retain all ownership rights to the content you create through ReputeDesk, including the responses you draft, approve, and post to review platforms. We do not claim ownership over your business data, your review responses, or your brand materials.

License to Operate the Service

By using ReputeDesk, you grant us a limited, non-exclusive, royalty-free license to access, store, process, and use your content and data solely to the extent necessary to provide the Service to you. This license ends when you close your account.

Aggregate & Anonymized Data

We may use anonymized, aggregated data derived from platform usage (with no personally identifiable information) to improve our AI models, develop new features, and publish general insights about review trends. This data cannot be traced back to you or your business.

Your Responsibilities

You represent and warrant that:

• You have the right to share and process the data you provide to ReputeDesk
• Your use of the Service does not violate any third-party rights
• All content you post through the Service is accurate and not misleading
• You have obtained all necessary authorizations from your review platform accounts

Data Portability

You may request an export of your account data at any time by contacting privacy@reputedesk.io. We will provide your data in a machine-readable format within 30 days of your request.

08 Third-Party Integrations

ReputeDesk integrates with third-party review platforms and services, including but not limited to Google, Yelp, and Facebook. Your use of these integrations is subject to the following:

• You must have a valid account with each third-party platform you connect
• You authorize ReputeDesk to access your accounts on those platforms on your behalf, within the scope of the permissions you grant during the OAuth connection process
• You are responsible for complying with each platform's terms of service independently of your use of ReputeDesk
• Third-party platforms may change their APIs, terms, or policies at any time, which may affect ReputeDesk's ability to provide certain features — we are not liable for such changes
• We are not affiliated with, endorsed by, or sponsored by Google, Yelp, Facebook, or any other third-party platform

09 AI-Generated Responses

ReputeDesk uses artificial intelligence to generate draft responses to customer reviews. By using this feature, you acknowledge and agree to the following:

You Are Responsible for Posted Content

All responses posted to review platforms through ReputeDesk are posted under your business identity and on your behalf. Regardless of whether a response was generated by AI or written by you, you bear full legal and reputational responsibility for all content posted through your account.

Review Before Posting

We strongly recommend reviewing all AI-generated responses before approving them for posting. AI responses may occasionally:

• Contain inaccuracies or misinterpret the context of a review
• Use language that does not match your intended tone
• Reference incorrect facts about your business or services
• Require legal or compliance review before posting in regulated industries

No Guarantee of Quality

We make no warranty that AI-generated responses will be accurate, appropriate, or suitable for your specific business context. The AI is a tool to assist you — not a substitute for human judgment.

Auto-Posting Mode

If you enable automatic posting (without manual approval), you accept full responsibility for all responses posted under this mode. We recommend using approval mode, especially for negative or sensitive reviews.

10 Intellectual Property

Our Property

The Service, including its software, design, user interface, features, algorithms, AI models, documentation, and all related intellectual property, is owned by Augment LLC and protected by copyright, trademark, and other applicable laws. These Terms do not grant you any right, title, or interest in or to the Service beyond the limited license to use it as described herein.

Trademarks

"ReputeDesk," the ReputeDesk logo, and related marks are trademarks of Augment LLC. You may not use our trademarks without our prior written permission, except as necessary to describe your use of the Service (e.g., "powered by ReputeDesk" with Agency white-label plans).

Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use that Feedback to improve and develop the Service without any obligation to compensate you.

DMCA

If you believe that content on our platform infringes your copyright, please send a notice to legal@reputedesk.io with the required DMCA information. We will respond to valid DMCA takedown notices in accordance with applicable law.

11 Disclaimers

Specifically, we do not warrant that:

• The Service will be uninterrupted, error-free, or available at all times
• AI-generated responses will be accurate, appropriate, or free from errors
• The Service will meet your specific business requirements or produce any particular business outcome
• Any errors or defects in the Service will be corrected
• Third-party review platforms will continue to permit our integrations
• Use of the Service will improve your business's ratings, reputation, or revenue

Your use of the Service is at your sole risk. We are not responsible for any reviews posted by your customers on third-party platforms, or for the responses to those reviews that you choose to post through our Service.

12 Limitation of Liability

In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of:

• The total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or
• One hundred US dollars ($100.00)

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13 Indemnification

You agree to defend, indemnify, and hold harmless Augment LLC and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property right, privacy right, or applicable law
• Any content or responses you post through the Service
• Any dispute between you and a customer, reviewer, or third-party platform
• Your violation of any review platform's terms of service

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of any such claims.

14 Termination

Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at hello@reputedesk.io. Upon cancellation, your access to the Service will continue until the end of your current billing period.

Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, if we determine in our sole discretion that you have:

• Violated any provision of these Terms
• Engaged in fraudulent, abusive, or illegal activity
• Failed to pay fees when due
• Used the Service in a way that poses legal, reputational, or security risk to us or others

Effect of Termination

Upon termination of your account for any reason:

• Your right to access and use the Service immediately ceases
• We may delete your account data in accordance with our data retention policy
• Any outstanding payment obligations remain due and payable
• Provisions of these Terms that by their nature should survive termination will survive, including Sections 7, 10, 11, 12, 13, and 15

We are not liable to you or any third party for any termination of your access to the Service.

15 Disputes & Governing Law

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

Informal Resolution

Before initiating any formal legal proceeding, you agree to contact us at legal@reputedesk.io and attempt to resolve the dispute informally. We will attempt to resolve any dispute within 30 days of receiving your notice.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will take place in Michigan, or remotely if mutually agreed.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis only. You waive any right to bring or participate in any class action, collective action, or representative proceeding against Augment LLC.

Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Michigan to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Venue

For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Oakland County, Michigan.

16 Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Send an email notification to all active account holders at least 14 days before the changes take effect
• Display a prominent notice in the platform

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account before the effective date.

For non-material changes (such as typographical corrections, clarifications, or updates that do not affect your rights), we may update the Terms without notice, though the "Last updated" date will always reflect the most recent revision.
